Terms and Conditions

1. Agreement to Terms

These Terms and Conditions (“Terms”) form an agreement between you and Bokeh Academy, LLC (“Bokeh Academy,” “we,” “us,” or “our”) concerning your use of https://bokehacademy.com/ and related online services that refer to these Terms (the “Website”). If you act for an organization, you confirm that you have authority to bind it.

The business address provided for Bokeh Academy is 887 W Marietta St NW, Suite S106, Atlanta, GA 30318, United States.

By using the Website or accepting these Terms during registration or checkout, you agree to comply with them. If you do not agree, do not use the Website or purchase its offerings.

Additional terms disclosed for a particular course, membership, product, webinar, workshop, retreat, or Bokeh Summit registration form part of your agreement for that offering. Those terms control any conflict about that offering, subject to applicable law.

We may revise these Terms and update the date above. Changes apply prospectively, and we will provide notice where required by law. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law. Changes do not retroactively remove rights arising from an existing purchase.

You are responsible for complying with laws applicable to your use of the Website. Do not use it where doing so would be unlawful or impose an unauthorized registration requirement on us. The Website is a photography education and commerce platform; it is not designed for regulated healthcare, financial, or government information subject to HIPAA, FISMA, or similar requirements. Do not submit information requiring those safeguards or use the Website in violation of the Gramm-Leach-Bliley Act.

The Website is intended for users aged 13 or older. Users who are minors under local law must have parental or guardian permission and supervision. A parent or guardian must review and agree to these Terms before a minor uses the Website. Individual events or offerings may have additional age restrictions.

2. Intellectual Property Rights

Unless stated otherwise, the Website’s software, code, databases, designs, photographs, graphics, audio, videos, lessons, course materials, webinar recordings, conference replays, and text (“Content”), together with its names, logos, and trademarks (“Marks”), belong to us or our licensors and are protected by applicable intellectual property laws.

Eligible users receive a limited, non-exclusive, non-transferable license to access Content made available to them for personal learning. Downloads and printing are permitted only where expressly enabled or authorized. Access to a paid offering depends on the purchase terms and access period disclosed for that offering.

Without prior written permission, you must not copy, record, redistribute, upload, translate, sell, license, publish, publicly display, or commercially exploit our Content or Marks, except where applicable law permits. Do not share paid course access, webinar links, replays, or account credentials with unauthorized users.

You may apply skills learned through our educational offerings in your own photography business. This does not permit redistribution of our materials or use of our branding to suggest endorsement. All rights not expressly granted are reserved.

3. User Representations

By using the Website, you confirm that:

  • Information you provide is accurate, complete, and current, and you will update it when necessary.
  • You have legal capacity to accept these Terms or the required parental or guardian permission.
  • You meet applicable age requirements.
  • You will not use unauthorized bots, scripts, or other automated tools to access the Website.
  • You will use the Website lawfully and only for authorized purposes.
  • Your activities will not violate these Terms, applicable laws, or another person’s rights.

If you provide false, misleading, or incomplete information, we may restrict access, suspend your account, or refuse further use, subject to applicable law and existing purchase rights.

4. User Registration and Account Security

An account may be required to access courses, recordings, purchased content, or other restricted services. Registration does not automatically grant access to every offering or to VIP benefits.

Keep your password confidential and do not sell, transfer, or share your account without our written authorization. You are responsible for activities you authorize through your account. Notify us promptly if you suspect unauthorized access.

We may remove or change usernames that are misleading, offensive, infringing, or otherwise inappropriate. Access permissions depend on the applicable purchase, registration, or membership terms.

5. Prohibited Activities

You must not:

  • Scrape or systematically collect Website content to create a database, directory, compilation, or competing library without written permission.
  • Deceive users, impersonate another person, or attempt to obtain passwords or other confidential information.
  • Circumvent security controls, payment requirements, access restrictions, or protections against copying Content.
  • Harass, threaten, intimidate, abuse, or unlawfully harm users, instructors, employees, or representatives.
  • Submit false abuse reports or misuse customer support.
  • Upload malware, spyware, unauthorized tracking tools, pixels, or other harmful code.
  • Spam, automate messages, overload systems, or disrupt the Website or connected services.
  • Remove copyright notices or unlawfully copy, adapt, reverse engineer, decompile, or disassemble Website software.
  • Use unauthorized crawlers, robots, scrapers, offline readers, or scripts, other than ordinary browser or permitted search-engine use.
  • Collect usernames or contact details for unsolicited communications or create accounts under false pretenses.
  • Make purchases through unauthorized automated buying agents.
  • Frame the Website or link to it in a way that misrepresents affiliation, bypasses restrictions, or infringes rights.
  • Use our Content to create competing educational products or unauthorized commercial offerings.
  • Advertise or sell goods or services through the Website without permission.
  • Share, sell, or transfer your profile, tickets, or access contrary to the applicable offering’s terms.
  • Engage in unlawful conduct or deliberately damage the Website through fraud, defamation, or other wrongful acts.

These restrictions do not prevent lawful, honest reviews, legitimate complaints, or ordinary application of your learning to your own photography work.

6. User Generated Contributions

Where enabled, you may submit reviews, comments, photographs, videos, messages, or other materials (“Contributions”). Public Contributions may be visible to other users and through third-party services. Do not post confidential information in public areas.

You confirm that you own your Contributions or have the licenses, permissions, consents, and releases necessary to submit them and grant the rights described below. This includes appropriate permission to use identifiable people’s names, images, or likenesses.

Contributions must not:

  • Infringe copyright, trademarks, patents, trade secrets, moral rights, privacy, publicity rights, or other rights.
  • Contain false or misleading information, spam, unauthorized advertising, pyramid schemes, or unsolicited promotions.
  • Contain unlawful, defamatory, threatening, abusive, discriminatory, or otherwise prohibited material.
  • Promote violence, harass individuals or groups, or endanger minors.
  • Violate child protection laws or link to unlawful or prohibited material.

Photography submissions must comply with applicable consent, model-release, and usage requirements. We may remove or restrict Contributions that violate these Terms.

7. Contribution License

You retain ownership of your Contributions. When you voluntarily publish a Contribution in a public Website area, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable, perpetual license to host, store, archive, cache, reproduce, edit, reformat, translate, publish, distribute, display, perform, and incorporate it into other materials, including for commercial and promotional purposes, to the extent permitted by law.

This license includes authorized names, branding, images, and voices contained in the Contribution, in current or future media. Subject to applicable law, it is irrevocable for uses already authorized under these Terms. Any waiver of moral rights applies only to the extent legally permitted.

This license does not authorize sale of your personal information contrary to our Privacy Policy or applicable law. Private support communications, payment information, and unpublished course submissions are not public Contributions under this license. Separate arrangements or releases may govern instructor materials, commissioned work, and event photography.

You remain responsible for the accuracy, legality, and permissions associated with your Contributions. We may review, edit, redact, recategorize, or remove them, but are not required to monitor every submission. Responsibility for user content and any related limitations remains subject to applicable law.

8. Guidelines for Reviews

Reviews should reflect genuine firsthand experience with the relevant course, webinar, workshop, event, product, or service. They must not contain fabricated claims, spam, harassment, threats, unlawful content, discriminatory abuse, or another person’s confidential information.

Disclose material relationships that may affect a review, such as compensation or an affiliation with an instructor, sponsor, or competitor. Do not impersonate customers or organize deceptive review campaigns.

Honest opinions and lawful criticism are permitted, including negative reviews. We will not require you to surrender ownership of an honest consumer review or penalize you merely for expressing dissatisfaction.

You retain ownership of your review and grant us a non-exclusive, worldwide, royalty-free license to display, reproduce, distribute, translate, and format it in connection with our offerings, without materially changing its meaning. We may moderate content for legitimate reasons consistent with applicable law; reviews do not necessarily represent our views or endorsement.

9. Feedback and Submissions

You may voluntarily provide ideas, suggestions, or feedback about the Website or our offerings. You confirm that you have the right to submit that feedback.

We may use, adapt, and implement such feedback without compensation or attribution, to the extent permitted by law. You retain ownership of any underlying intellectual property and grant the permissions necessary for that use. This provision does not transfer ownership of your photographs, reviews, or other creative work merely because you contact us.

Personal information and private customer communications remain subject to our Privacy Policy. Do not send confidential business ideas unless we have agreed in writing to protect them.

10. Third Party Websites and Content

The Website may link to or integrate third-party platforms, payment services, video tools, social networks, applications, and content. Those providers have their own terms and privacy policies.

We do not control every third-party service or guarantee its accuracy, availability, security, or suitability. A link, integration, or sponsor reference does not by itself imply endorsement.

Review the relevant provider’s policies before using its services or providing information. Purchases made directly from an independent third party are between you and that provider. To the extent permitted by law, we are not responsible for losses arising solely from independent third-party transactions or content. This does not remove our obligations for products or services we sell to you.

11. Advertisers and Sponsors

We may display advertisements or sponsor information associated with our photography education, events, or other offerings. Advertisers are responsible for their advertisements, claims, products, services, and required permissions.

An advertiser confirms that it has the intellectual property, publicity, and contractual rights necessary to supply its advertising materials. Providing advertising space does not make us a party to the advertiser’s independent transactions or automatically establish a partnership or endorsement.

12. Website Management

We may monitor compliance, investigate suspected misuse, report unlawful conduct, restrict access, remove prohibited Contributions, and disable content that is excessively large or burdensome to our systems.

We may take reasonable steps to protect the Website, users, intellectual property, and service operations. These measures remain subject to applicable law and do not remove rights arising from valid purchases.

13. Privacy Policy

Our handling of personal information is described in our Privacy Policy at https://bokehacademy.com/privacy-policy/.

Information may be processed in the United States or other locations used by our service providers, as described in that Policy. Use of the Website does not replace any consent, safeguards, or other legal requirements applicable to international data transfers.

We do not knowingly collect personal information from children under 13. If we learn that such information has been provided without legally required parental consent, we will take appropriate steps to delete it or otherwise address the issue as required by law. Contact us if you believe a child has submitted personal information.

14. Copyright Infringement Reports

If you believe Website materials infringe copyright you own or are authorized to enforce, contact us using Section 27. Identify the copyrighted work, the material at issue and its location, your contact details, and the basis for your complaint. Include statements and a signature required by applicable law where relevant.

We may investigate, remove or restrict material, and provide the complaint to the person who supplied it, subject to applicable law. Knowingly making material misrepresentations in a copyright complaint may expose you to liability. Seek legal advice if you are uncertain about your rights.

15. Term and Termination

These Terms apply while you use the Website. We may suspend or terminate access, remove content, or block accounts for violations, suspected fraud, security risks, unlawful activity, or other legitimate operational reasons. We may act without prior notice where necessary, subject to applicable law.

You must not bypass a suspension by creating another account under your own, a false, or another person’s identity. We may pursue available legal remedies.

Termination does not automatically cancel obligations already incurred or remove statutory rights. Any effect on paid access, refunds, or outstanding installments is governed by the relevant purchase terms and applicable law. Provisions intended to survive termination, including intellectual property, dispute resolution, and applicable liability provisions, continue to apply.

16. Modifications and Interruptions

We may update Website features, content, pricing for future purchases, or service availability. Maintenance, technical failures, and circumstances outside our control may cause interruptions or delays.

We do not guarantee uninterrupted access or an obligation to maintain every free feature indefinitely. However, Website changes do not override access periods or service commitments expressly included in an existing purchase, or remedies required by law.

We will address material changes to purchased offerings under their disclosed terms and applicable law. Event-specific changes are addressed in Section 30.

17. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without applying conflict-of-law rules, except where applicable law requires otherwise.

Nothing in these Terms excludes mandatory consumer protections available under the laws applicable to you. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act are excluded to the extent legally permitted.

18. Dispute Resolution

18.1 Informal Resolution

Before starting arbitration, you and we agree to attempt to resolve a dispute concerning these Terms or the Website through good-faith informal discussions for at least 30 days after written notice, except for the exclusions below. Notices to us may be sent using Section 27. This requirement does not prevent action needed to preserve a legal deadline or seek urgent relief.

18.2 Binding Arbitration

If informal discussions do not resolve the dispute, either party may require binding arbitration administered by the American Arbitration Association (“AAA”), except where this provision is prohibited or the dispute is excluded below. The Federal Arbitration Act governs this arbitration agreement to the extent applicable.

The AAA Consumer Arbitration Rules apply to consumer disputes where appropriate; applicable AAA Commercial Arbitration Rules govern other qualifying disputes. Current rules, procedures, and fees are available at https://www.adr.org/. Fees, arbitrator compensation, hearing arrangements, and consumer safeguards are governed by the applicable rules and law.

Proceedings may take place through documents, by telephone, online, or in person as allowed by those rules. Unless applicable rules or law require otherwise, the location is Fulton County, Georgia. The arbitrator must apply applicable law and issue a written award as required by the applicable rules. Court review is available only on legally recognized grounds.

Arbitration generally replaces a court trial, including a jury trial, for disputes covered by this agreement. It does not remove rights that cannot legally be waived.

18.3 Individual Proceedings and Exceptions

To the extent permitted by law, arbitration will proceed individually rather than as a class, consolidated, or representative action. This restriction does not apply where governing law requires otherwise.

Either party may bring an eligible individual claim in small claims court. Claims concerning enforcement or validity of intellectual property rights, theft, piracy, invasion of privacy, unauthorized use, or requests for injunctive relief are excluded from the informal negotiation and mandatory arbitration requirements to the extent permitted by law.

Courts may hear proceedings to compel arbitration or enforce, confirm, modify, or vacate an award where legally permitted. Where a dispute properly proceeds in court, the state courts in Fulton County, Georgia, or the federal court with jurisdiction over that county will have jurisdiction, unless applicable law requires another forum.

Any contractual one-year period for bringing a claim applies only where lawful: subject to non-waivable statutory periods, a dispute must be commenced within one year after the cause of action arises. If part of this section is unenforceable, the remaining provisions apply only to the extent allowed by law; disputes that cannot be arbitrated may proceed in a court of competent jurisdiction.

19. Corrections

We may correct typographical errors, inaccurate descriptions, pricing mistakes, and availability information. If an error affects an existing order or registration, we will contact you about the available resolution rather than assume your consent to a higher price or materially different offering.

Any cancellation, refund, or replacement associated with a correction remains subject to applicable law and the terms disclosed for your purchase.

20. Disclaimers

Photography education is intended to support learning and professional development. We do not guarantee a particular income, business result, creative outcome, booking volume, or level of skill. Results depend on individual experience, effort, equipment, and circumstances.

Subject to express purchase commitments and applicable law, the Website and its general Content are provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that general Website information or third-party materials are complete, error-free, secure, or continuously available. Potential risks include technical errors, unauthorized access, malware, interruptions, loss of data, or injury or property damage arising from misuse of services or activities.

We do not guarantee independent third-party products or services merely because they appear in an advertisement or link. These disclaimers do not exclude liability that cannot lawfully be excluded or warranties and rights applicable to products or services purchased from us.

21. Limitations of Liability

To the fullest extent permitted by law, Bokeh Academy and its directors, employees, and agents are not liable for indirect, consequential, exemplary, incidental, special, or punitive damages arising from Website use, including lost profits, revenue, or data, even if advised of the possibility.

Subject to applicable law, our aggregate liability for a claim arising from these Terms is limited to the lesser of the amount you paid us during the three months before the claim arose or US $1,000.

This limitation does not exclude or restrict liability, refunds, remedies, or consumer rights that cannot legally be limited. Where applicable law prohibits a particular exclusion or limit, it does not apply. Express purchase obligations and non-waivable rights remain in effect.

22. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Bokeh Academy, its affiliates, officers, employees, agents, and partners against third-party claims, losses, and reasonable legal expenses arising from your unlawful Contributions, misuse of the Website, breach of these Terms or your representations, infringement of another person’s rights, or wrongful harm to another user.

We will make reasonable efforts to notify you of a covered claim. We may assume control of its defense, subject to applicable law, and you agree to provide reasonable cooperation. You are not required to indemnify us for our own conduct where that obligation would be unlawful.

23. User Data

We may maintain account, usage, and submitted information to operate the Website and deliver services, as described in our Privacy Policy. Keep your own copies of photographs, assignments, and other materials you submit.

The Website is not a substitute for your own storage or backup service. We cannot guarantee recovery of every submission or uninterrupted availability of records. Any backup practices and data-loss limitations remain subject to applicable law, our Privacy Policy, and express service commitments.

24. Electronic Communications and Transactions

Using the Website, submitting forms, placing orders, and emailing us involve electronic communications. Where legally permitted, you agree that electronic agreements, notices, signatures, orders, and records may satisfy applicable writing and signature requirements.

We may send order confirmations, access instructions, event updates, and other service communications electronically. Marketing preferences and unsubscribe choices are addressed in our Privacy Policy.

You do not waive any right to a particular notice, consent process, or paper record where applicable law makes that right non-waivable. Keep copies of your purchase confirmations and the terms supplied at checkout.

25. California Users and Residents

If a complaint is not satisfactorily resolved, California residents may contact the California Department of Consumer Affairs’ Consumer Information Center at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Current contact information and referrals are available at https://www.dca.ca.gov/about_us/contactus.shtml. The Department may refer matters outside its jurisdiction, including some online merchant complaints, to another agency. Nothing in these Terms limits rights that California law makes non-waivable.

26. Miscellaneous

These Terms, together with applicable purchase terms and policies expressly incorporated into them, form the agreement regarding Website use and the relevant offerings. Failure to enforce a provision is not a waiver of later enforcement.

We may assign rights and obligations where legally permitted, without removing your existing contractual or statutory rights. Neither party is responsible for delays caused by events beyond its reasonable control to the extent recognized by applicable law; affected purchase and refund rights remain subject to law and the disclosed offering terms.

If a provision is unlawful or unenforceable, it will be severed or limited as legally permitted without automatically invalidating the remainder. These Terms do not create an employment, agency, joint venture, or partnership relationship.

Interpretation and recognition of electronic agreements remain subject to applicable law. No provision requires waiver of rights that cannot legally be waived.

27. Purchases Payments and Merchandise

Review the product or registration description and checkout terms before ordering. Prices, currency, taxes, delivery charges, access periods, and included benefits are those disclosed for the transaction. You must provide accurate billing and shipping information and be authorized to use the payment method supplied.

Payments may be handled by independent payment processors under their terms and privacy policies. Payment plans, where offered, are governed by the installment schedule and conditions accepted at checkout. A payment plan is not automatically a cancel-anytime subscription.

Refunds, cancellations, exchanges, and ticket transfers are governed by the specific policy disclosed before purchase, together with applicable law. These Terms do not create a blanket no-refund policy for every offering. Contact us if the applicable policy is unclear before ordering.

For physical merchandise, review sizing, variants, availability, shipping destinations, delivery estimates, and any return conditions stated for the product. Report incorrect, damaged, or missing items promptly so we can investigate. Mandatory rights for defective goods or delivery failures are not excluded.

28. Courses Webinars Replays and Membership Access

Access to courses, webinar replays, conference recordings, or other digital content depends on the offering purchased or registration completed. Review whether access is time-limited, tied to a membership, or subject to another stated condition. No lifetime access or recording availability is promised unless expressly stated.

Free registration, general event admission, course purchases, and VIP access are different entitlements. A VIP benefit applies only where the relevant offering expressly includes it. Historical purchases do not automatically grant every current or future VIP benefit.

Live webinars may require registration and attendance at the advertised time and time zone. Replays are supplied only where included or separately made available. You are responsible for suitable internet access, compatible devices, and any software requirements disclosed for participation.

If a recurring membership is offered, the checkout must state the billing frequency, renewal conditions, cancellation method, and access consequences before enrollment. Recurring charges require the authorization and notices required by applicable law. Cancellation of a recurring membership is distinct from cancellation of an agreed installment plan.

29. Workshops Retreats and Bokeh Summit

Each event’s page and checkout specify dates, location, admission category, included benefits, registration requirements, and applicable cancellation or transfer conditions. Read these details before booking.

Unless expressly included, travel, accommodation, meals, equipment, and other personal expenses are your responsibility. Access to particular sessions, shooting bays, VIP activities, or portfolio opportunities depends on your ticket and any stated capacity or booking requirements.

Schedules, instructors, speakers, venues, and session arrangements may change. We will communicate material changes and address cancellations or postponements under the applicable event terms and law. An advertised non-refundable condition does not eliminate remedies required by law if the organizer cancels or materially fails to deliver an event.

Follow venue rules, safety instructions, instructor directions, and respectful conduct requirements. Comply with restrictions on photography, recording, models, and use of images. Permission to attend or photograph a session does not by itself grant unrestricted commercial rights to every image or model likeness.

Any liability waiver, model release, or organizer photography and recording consent required for an event must be disclosed separately where appropriate. These Terms alone do not constitute unlimited permission for us to use every attendee’s image or voice in advertising.
